Terms of Service

1. Acceptance of Terms

By accessing or using the Visionary platform, website, or services (collectively the "Services"), you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Description of Service

Visionary operates a B2B matching platform and marketplace that connects Brands (merchants, retailers, e-commerce sellers) with Third-Party Logistics Providers ("3PLs" or "Providers") to facilitate warehousing, fulfillment, and supply chain operations.

We provide the software to facilitate discovery, communication, and quoting, but Visionary is not a party to the actual logistics contracts signed between Brands and 3PLs unless explicitly stated.

3. User Account Responsibilities

  • Accuracy of Information: You must provide accurate and complete information during registration and vetting (for 3PLs) or onboarding (for Brands).
  • Account Security: You are responsible for safeguarding your authentication credentials. We recommend enabling Multi-Factor Authentication (MFA). You agree to notify us immediately of any unauthorized use of your account.
  • Authorized Use: The platform is for B2B use only. You may not use the Services for any illegal or unauthorized purpose.

4. 3PL Provider Vetting and Badges

Visionary independently vets 3PL Providers based on the documentation they submit. The assignment of a badge (e.g., Standard, Premium, Elite) represents Visionary's internal assessment at the time of verification.

While we strive for accuracy, Visionary does not guarantee the performance, financial stability, or operational quality of any 3PL Provider. Brands are encouraged to conduct their own due diligence before entering into legal agreements or sending inventory.

5. Fees and Payments

  • Subscription Fees: Usage of advanced features requires an active subscription. Subscription fees are billed in advance on a recurring basis and are non-refundable except as required by law.
  • Success Fees: For select platform tiers, a success fee is charged upon the successful execution of a contract originating from the Visionary platform. Attempting to circumvent the platform to avoid success fees constitutes a material breach of these terms.
  • Payment Processing: We use third-party providers (Stripe, PayPal, Xendit) to process payments. By using the platform, you agree to their respective terms of service.

6. Intellectual Property

The Services and their original content (excluding User Content), features, and functionality are and will remain the exclusive property of Visionary and its licensors.

By submitting documents, RFQs, profiles, or other materials ("User Content") to the platform, you grant Visionary a worldwide, non-exclusive, royalty-free license to use, reproduce, and process such content for the sole purpose of providing and improving the Services.

7. Limitation of Liability

IN NO EVENT SHALL Visionary BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (iii) ANY CONTRACTS ENTERED INTO BETWEEN BRANDS AND 3PL PROVIDERS.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws applicable to our primary corporate jurisdiction, without regard to its conflict of law provisions.
